TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of https://agrivet.in (the “Website”). The Website is owned and operated by Agrivet Research & Advisory Private Limited (“Agrivet”, “we”, “us”, “our”), a company incorporated in India with its registered office at 714, Lake Town, Block-A, Kolkata, West Bengal, PIN 700089, India, CIN U01403WB2012PTC184502, GSTIN 19AAKCA8095L1ZV.

By accessing or using the Website or our services, you agree to be bound by these Terms and our Privacy Policy and Payment, Cancellation & Refund Policy, which are incorporated by reference.

1. Eligibility and Accounts

1.1 You must be at least 18 years old and have legal capacity to contract.
1.2 If you create or are provided an account, you are responsible for all activities under it and for keeping your credentials secure. Notify us immediately of any unauthorized use.

2. Services and Transactions

2.1 The Website enables you to learn about and, where applicable, purchase or book our services (including research, laboratory services, training and consulting) (collectively, the “Services”).
2.2 By initiating a transaction on the Website, you enter into a binding contract with Agrivet for the relevant Services, subject to these Terms and any service-specific terms agreed with you (proposal/PO/SOW).
2.3 Fees, taxes, and payment terms are set out at checkout and further in our Payment, Cancellation & Refund Policy.

3. Payments

Online payments are processed via PCI-DSS compliant payment gateways. We do not store your full card details, UPI PIN, or net-banking credentials. See our Payment, Cancellation & Refund Policy for accepted instruments, currency, failed/duplicate transaction handling, cancellations, refunds, and chargebacks.

4. Permitted Use and Prohibited Conduct

4.1 You agree to use the Website only for lawful purposes and in accordance with these Terms.
4.2 You shall not, directly or indirectly: (a) access or use the Website in any manner that could damage, disable, overburden, or impair it; (b) attempt to gain unauthorized access to any systems or networks; (c) introduce malware or harmful code; (d) scrape, crawl, index, or harvest content except as permitted by standard search engine protocols; (e) copy, modify, translate, adapt, or create derivative works of the Website or its content except as expressly allowed; (f) misrepresent your identity or affiliation; or (g) violate applicable laws.

5. Intellectual Property

5.1 The Website and all materials on it—including text, graphics, logos, images, interfaces, and arrangement (“Content”)—are owned by or licensed to Agrivet and protected by law.
5.2 Subject to these Terms, Agrivet grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Website for your internal business purposes. No other rights are granted. All trademarks are the property of their respective owners.

6. Third-Party Links

The Website may contain links to third-party sites for your convenience. Those sites are not under our control; we are not responsible for their content, terms, or policies, and your use of them is at your own risk.

Our collection and use of personal data is described in our Privacy Policy. By using the Website, you consent to such processing.

8. Disclaimers

8.1 The Website and Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
8.2 We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Outputs or information are for general information; any reliance is at your discretion.

9. Limitation of Liability

To the maximum extent permitted by law, Agrivet and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption, arising out of or related to these Terms or your use of the Website, even if advised of the possibility. Our aggregate liability for all claims in any 12-month period shall not exceed the total fees you paid to us via the Website for the Services giving rise to the claim in that period.

10. Indemnity

You agree to indemnify, defend, and hold harmless Agrivet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Website, violation of these Terms, or infringement/misappropriation of any third-party rights.

11. Suspension and Termination

We may suspend or terminate your access to the Website (in whole or part) at any time for any actual or suspected violation of these Terms, unlawful conduct, or to protect the Website or other users. Provisions that by their nature should survive (including Sections 5, 8–13) will survive termination.

12. Changes to the Website and to these Terms

We may modify or discontinue any part of the Website, and we may update these Terms from time to time. Changes are effective when posted on the Website with the “Last Updated” date. Your continued use constitutes acceptance.

13. Communications; Electronic Records

You consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

14. Force Majeure

We will not be liable for any delay or failure due to causes beyond our reasonable control, including acts of God, labor disputes, pandemics, cyber incidents, utility failures, or governmental actions.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Courts at Kolkata, West Bengal, India shall have exclusive jurisdiction.
